I do not own any of SM's footage or stage mix footage shown in the video, please support the official release!
I can already hear some of the comments, "you obviously bias HYBE like you just hate SM!" Me critically analyzing a COMPANIES response to another and calling out the awful points they make is not me picking a side, I don't like either companies here, so please accept that.

- The disconnect online on how HYBE works as a company is honestly astonishing if anything. People out here act like HYBE is still a music label and fail to remember that HYBE is a massive Umbrella company. SM needs to be held responsible for this horrible dialogue created online and putting THEIR artists in the crosshairs. Irresponsible by SM, HYBE, and LSM. No one is safe here.
Also at one point I say that TXT sold double what Aespa did in 2022 and they only sold 900k more. Shoutout to Taejiu for not being able to do basic fucking algebra but my point still stands XD.
NOTE: Everything here is an opinion, and I am not a marketing major nor a business major, so please take any opinion from me based on market shares with a grain of salt.

  • As a fan of a lot of sm groups, I feel like sm had all of this coming. They have under managed and over worked so many of their artists, ignored the wishes of said artists, ignored the needs/ wants of artists, denied creative routes and freedoms, and SOOOO MUCH MORE. I've always supported the artists versus the company because they never can do anything seemingly right. Hearing they've literally been mishandling the money that goes to the artists and, again, MORE. It's just so beyond disappointing. It makes me so sad to see the people I enjoy and adore be so mistreated. Especially WayV, Aespa, and Mark/Haechan. Other members or these groups and other groups having to perform injured. LITERALLY NO ONE being promoted correctly some worse than others. I'm over it. EDIT! I'm talking about ALL sm artists. Groups like suju, SHINee, Red Velvet, Exo AND MORE have opened up about the mistreatment underneath the company. Also I wanted to mention that, YES, there are other terrible companies out there. I'm not saying hybe is a saint. BTSs early days are a show of that. I'm not a supporter of any company most of the time. Normally a supporter of the art/artists under them. Yes that does support the company itself but I'm not going to blindly stick by what the upper hand does PERIOD.

    • @@kayuberuti of course there are other companies that treat their artists poorly. We've seen so many of them since the beginning of kpop. I don't really support companies ever. I'm here for the artists and art under them. If they can't treat that very person/art with respect then why should I stay silent on the manner. Those things deserve to be praised for their hard work. Their are so many parts that go into making kpop groups work. It's not just the artists but everyone they work with on the daily. But CEOs make the call on how these people are treated and promoted. If they aren't doing their job right then everything crumbles like it is now.

  • Your comment about "this is some BBC shit" made me laugh but I also think there's something to be said about companies acting downright goofy these days. Like companies have always been shady and greedy, we been knew. But recently they've all started airing their dirty laundry, releasing statements that seem like they were written by ten year olds having beef with their classmates, and just acting unprofessional altogether. What's up with that?

    • @@fightmebtch there’s the basic needs neglect which is when a company neglects the needs of the idols like rent for their dorms, food and water and general mistreatment which is what was happening to groups like loona, gwsn, ateen and many more. You would never guess these groups were being neglected because they were having comebacks a few times a year and everything seemed fine but no. And then there’s the professional neglect which is what sm is doing rn. They either give their artists too many comeback without a single care in the world (Nct) or no comebacks at all (aespa, f(x)..). Sm only neglects their artists on a professional level their basic needs are met.

    • @@nagihiro1382 None of the groups you mentioned are within Hybe though. So the question still stands, which neglect by Hybe? Because apart from minor things, like someone forgetting to post one member of a group somewhere, I haven't seen much. Biggest thing was the Garam scandal, which they tried to defend her, but the shit spilled daily by an outlet backed by Kakao btw, was too much eventually. On the other side I see Shinee, a group that I very much like, and Key as one of the best and ace artists out there in my opinion not really being supported much. Same for Taemin, I hope he can heal and come back to the stage as he belongs as an artist. But rather then giving him opportunities and also their other groups like Exo, NCT etc. SM created a very superficial group Super M only to upstage BTS, which failed nevertheless, because it was an idea not worked long enough on. Let's also not forget that SM artist don't earn as much, the chaos and overworking of NCT members, neglect of Chinese idols etc. As a BTS lover I can tell you that I would have loved for BigHit to just stay little personal BigHit. But business is not dreamland and reality does evetually hit and it doesn't spare anyone.

  • It's sad when an AI group like MAVE is outdoing Aespa at their own concept. The Aespa girls are so talented I want so much better for them. SM hasn't had their stuff together in years. They feel like a relic. All the industry competence is at HYBE, JYP and smaller labels. It feels like SM and YG are both hilariously comfortable underutilizing their artists.

    • That's because MAVE is a collab by Kakao x Metaverse Entertainment. If Kakao takes over SM then Aespa's concept will be completely swallowed by MAVE. YG knows what they are doing. Their groups are on tour currently. It's a YG thing for years for to not give their groups comebacks every year. It's nothing new here. YG's ceo was doing a great by being a stubborn ceo. Unlike SM,that's going under water. YG isn't as stupid as SM. Kakao can't come for YG because HYBE has shares in YG plus,YG has business with Naver etc. Kakao can only bat an eye to JYP but the ceo hates Kakao.

  • So here's what actually happened. LSM is getting old. His creative decisions become less and less logical. The Co-CEOs and the board of directors whose mostly younger generations wants him out. LSM refused, so they blackmailed him with his crimes (embezzlement, slave contracts, tax fraud and so forth), which the SM boards knew and just let him do all that, by the way. LSM called their bluff by threatening to sale his shares to SM's direct competitors, HYBE and JYPE (Bang PD and JYP had a meeting about a month before this all mess come to light), so SM board counter him by inviting Kakao into the battlefield. And now we got to enjoy the show. Cheers.

  • SM is not only about KPOP - they represent actors, models, athletes; talk about disregard for its KPOP artists, what about their stable of representation for all those other working people under contract and their support staff. Focusing only on KPOP felt like clickbait; and then, only mentioning its "strategic partnership" with Kakao almost 3/4 into the presentation as opposed to the HYBE hostile takeover narrative was so deliberate, it was just a huge red flag. I commented on another site that public companies normally issue press releases to the media when they want to communicate their narrative; videos are usually kept in-house to avoid backlash, I mean they have to answer to shareholders. Now SM's dirty laundry is out for the whole world to see. HYBE will continue to operate on the QT/DL because they're not stupid and will likely focus on going through the institutional process to get their work done. Sheesh.

  • About the ticket point: for it to be a fair comparison it should've been between concerts held in the same stadium/theater and with similar capacity and also between the same type of tickets. I saw someone say that the pricing shown for TXT (or group T) was the one for vip+soundcheck seats while aespa's were general access. But doing a fair comparison or clarifying what data are they using wouldn't help them. About the 100 album releases limit: Hybe artist released 24 albums in 2022 across all labels, counting both Japanese and Korean releases. Even if they were to double that number to 48 it would still leave SM 52 albums for their artists to release, more than enough to cover their 40+ albums objective that they had for this year, so I don't know what they are complaining about.

  • my experience with diving into the culture of big 3 company stans is that they don't like hybe because hybe = kirby eating up any label they want and also hybe = bts = bad, especially sm stans and also yg stans, although not as much imo. and from what i got out of my experiences with all three is that the big 3 company stans take a lot of pride in the company's independence and how they rose to the top by themselves and are now one of the greatest. so you could probably imagine what their reaction would be when hybe "took away" that independence from sm by becoming it's largest shareholder. just after i heard the news i giggled a lil and started envisioning what twitter would have to say about that topic. so i put down my phone for about an hour to study, log on to twitter and goodness gracious was i not surprised in the slightest.

    • I couldn't have said it better myself. There's a difference between genuinely giving criticism to the company and jumping on the hate train for no/silly reasons. I have also been critical of them in the past, but just because I didn't like some of the decisions they were making - doesn't mean I get to blame them for every single little thing that goes wrong at the company. As much as people would like to blame HYBE for everything, they can only do so much because each company/sub-label works independently.

  • I do wanna say I feel REALLY bad for the artists and other workers who are having to deal with this. This isn’t a acquisition but having gone through that myself(the place I worked at got bought out, I’ve also been on the other side of acquisitions as well lol) when one of the parties throws a fit it makes things much more scary and worse than it has to be. My thoughts go out to them, I hope they’ll be alright.

If yes, just wanted to say that since HYBE is at the stage where their tender offer is still being evaluated, they (HYBE) cannot legally consult or discuss details in advance to the target company (SM), let alone detail it to the public. Just wanted to add more context! 😊 13:59 Additional info about this part. SM is reported to have around 600 employees, but they only surveyed less than half which already makes the data questionable. Also, if I remember correctly, BLIND (the platform they used for the survey) is a Kakao subsidiary so do with that what you will. 👀

  • It’s sad because all of this happened because SM refuses to improve themselves and expect success instead of working towards success. They have been selfish, stubborn, and arrogant form the very start. And now they are acting out instead of taking this opportunity and using hybe to their advantage. They are acting like this is the end, when they could turn it into a new beginning and treat their fans and artist fairly for once. They remind me of rich people that are used to getting what they want without working for it. They have all these great groups and do the bare minimum to manage them.

  • The worst part for me genuinely is SM Stan’s on Twitter. I like groups from both companies. And when I watch the side that’s like “Hybe” Stan’s it’s mostly like “hehehe SM having a bad day lollll” lots of jokes but whenever I see an SM Stan it’s like a full thread tweet about how Hybe is gonna change the infrastructure of all of South Korea if the get shares in SM. It’s pretty clear to me why SM would want Kakao over Hybe tbh. Both will have profit but Kakao is definitely gonna benefit the top bosses in SM in the end.

    • I mena it isn't as funny when you think about certain idols under SM who might leave the company, because of this circus that is going on. For HYBE stans it is like a pay day and for SM stans it is like going bankrupt, so obvs both sides aren't at their best behaviour. There are actual merits in discussions about how a lot of kpop companies are run mobster style by thugs. There is actual merit in saying that HYBE seems to be running more in line with the world’s standard of a legal and professional multinational corporation because now they are. Is there a way to argue these points without being accused of being a “HYBE stan”. It is cringe beyond imagination.

  • 2 Points. Ticket prices: ARMYs have pointed out that they take premium tickets for Hybe prices, but more regular ones for SM in this graph, so it's basically a lie. Also, I just know that BTS are the biggest group and demand is super high for concerts and it's always the literal Hunger Games when buying tickets. So the prices could be well above average for years already, they are not though. I live in Germany, after Corona concerts started again and I checked for prices and when I tell you some B list singer, that nobody knows apart from Germans, has the same prices as what fans reported for BTS (or even higher) then I don't believe one second that HYBE is the bad guy here. They make more money when they leave the prices average but sell out all the merch on site and with collaborations in the towns around the concerts. Sure, there are always the high price tickets if you wanna be near the stage, but that's the same for other Kpop acts, including SM. Monopoly: can we stop talking Hybe and start talking Kakao? They had some server burn and like 75% of South Korea stood still, no communication, no bank business etc. but HYBE is the bad guy? I personally believe that HYBE eventually wants to become competitive enough against big US (western) market players. Because they dictate the rules and ARMY has seen how they first tried to lure BTS into signing with a US label, then when that didn't happen and the fans had too much power for their taste, they started to change rules, so that BTS couldn't be as successful enough anymore, started rumours about fraud. These changes will reflect on all Kpop artists. They even banned the "paper" Social Media award to the red carpet only because BTS domintaed, how petty can you be? Well, aparently very much so when you fear for your industry plants to not dominate anymore and your revenue goes down. Kpop artists have a lot to offer for other music markets, but the Korean companies will need to work together. Lastly, sorry but I cannot take a business person seriously who does YT videos and creates such misleading and frankly unproffesionally looking graphs. This CEO must have been promised a lot of money by Kakao to panic that hard. He should be fired immediately, no matter if HYBE or anyone else aquires majority of shares. This man clearly does not deserve this job AT ALL and is not to trust as has been shown obviously.

SM can offer to buy BTS and move them under the label, but there's no source for any of your claims, both the "Buying BTS" and "SM stans one (HYBE nor BIGBIT has confirmed this story so it's just speculation). The only one I know about disbanding BTS was because of the MAMA awards, in 2017? Other than that, I would like an actual source that isn't a friend of yours.

    • Ofcourse. I recall the 'Break the wings' project that kpoppers casually push under the rug. If anything the fandoms that collectively joined into it are most toxic. Going far beyond Internet hate and putting the group at major stake it had to be taken to the court and the court had to ask the fandoms and particularly those involved organising this shit to stop being big asses or they could be put a case over. The funny bit is how table's turn when some fear.   • Technically it is a hostile takeover because SM doesn’t want Hybe there. IMO LSM said, oh you don’t want me there? Fine, I’ll leave, but you won’t get it either. SM is playing the public opinion card. They know there’s little they can do, so they’re trying to get the public on their side. I laughed at their ticket prices graphic. If they could, SM would’ve charged way more. But, as it stands, they’re using it as fuel to their public opinion game. Look, I’m nicer, I charged less for tickets! Stock prices will drop to what they used to be for a while. They’re now at a much higher price than usual because ppl wanna make money off this Hybe deal. Once it’s over, it’ll stabilize. For a while, the uncertainty of what’s new will make prices drop, or they could rise due to Hybe’s influence, if it’s seen as a good thing. Either way, ppl aren’t happy with SM 3.0 either, so unless more details abt that come to light to make investors feel it’s a good choice, they’ll walk away and prices will drop. The market is all about trust. Trust that I can make money with you, else I’ll take my money out. Their point about releases is weird. It may be that way in SM, but Hybe couldn’t care less. They literally released Butter and 0X1=Lovesong (and Fever) within days of each other.

The real hostile takeover is what the co-ceos did behind LSM who made new stocks and didn't consult or basically hid the fact they made new shares and sold it to kakao.   • One of his key points was hybe would effect their artists' output, when ironically sm does this themselves. And the rest is laughable in the sense that it is essentially implying sm knows more about business than hybe, and if they did then hybe would have never been the go-to by LSM in the first place. And then they post that on smtown, which is fucking hilarious when you realize the last 4 vids are all in regards to this sm drama, meanwhile nct and key are below that probably wondering if that's part of their promotion. This is probably Chris Lee trying to convince fans that sm is great, has honor, etc., and trying to maintain its value, but honestly I think tge guy is an idiot and LSM was at the very least a great producer and more experienced. So having hybe as the largest shareholder is the biggest upside to this.

  • I put this in the description but I’ll put it here too so I can correct my mistake. I say that “TXT sold double the albums aespa did in 2022” as you can see that’s obviously not the case if you do basic fucking algebra.     • Actually the graph they showed is also incorrect, the TXT ticket prices were for the VIP seats and SM groups prices were for general seats, TXT general seat price is in same range as SM offers so that was really shady and unprofessional imo

  • The SuperM and GOT comparisons have got to stop. SuperM did not bring the revenue that was invested in them, hence why GOT hasn't gotten same treatment. SuperM was overall a waste of money, they aren't gonna risk it again with a higher rate of it failing.

  • Hoping that the artists and staff are protected while the powers that be try to fix this mess. When parents fight, the children always suffer. Make no mistake, this a desperate move from the SM top management to manipulate public opinion and paint HYBE as the bad guy. I mean HYBE's not perfect but the success of their artists and labels is proof the they are doing a lot of things right. If anything, SM should welcome the best practices from HYBE.

  • Remind me like a kid telling her mom why he doesnt want some veggies, well if things well become official, its done for them, they cant control money stuffs fully...Hybe isnt perfect company they even s*cks sometimes but lets admit they did great in the groups under them from boy group until their new ggs one great example is Fromis 9 whom after many years they had their full album even the lightstick..knowing them as well you are right, they are letting their subs company freedom to make their own mark, making impactful cb and not keeping them in Hybe basement so I dunno why does SM acting like a "victim"...and knowing Kakao, the same company whom many people say release "bad articles and rumors for Aespa are the one whom SM trusted now? They are afraid of unfair treatment from they are doing since then...hayyysss hope SM artist will not be fully affected of their drama🤦

  • I don't think you have a lot of understanding of how bussiness work to say that this is not a hostile takeover.... A hostile takeover is a way to take away a company by shares or board voting, w/o the knowledge of their CEOs or Major owners. In this case HYBE may not have more that 51% of shares but if it has the major amount of shares they can have the final say in any BUSINESS decisions, in the way shares are split now since SM is a public traded company. Most of shareholders are minor.SM has the major with Kakao an Lee so man. But if HYBE had already bought SM stocks and now getting the LSM stake in sm, that can make them the major shareholder overnight and since the deal with Kakao wasn't approved and done. Both companies can't have the stake on SM because that would be monopoly since Kakao owns a lot of middle size companies and hybe has it labels. So LSM DID A Hostile takeover in a way to put the Kakao agreement in pause and not be ousted of the company like previously plans stated. The Board can vote but if the HYBE deal goes through they have the final say period. And they can shape SM in which way they want. Now it's between the Korean government to sort this mess out.

    • @@Taejiuto be a hostile takeover it has to be something done without the CEOs, shareholder or board of directors knowledge. The Kakao agreement was something that was approved by SM company as whole, The thing is LSM said he would be out in the 3.0 phase of the company and act as independent contractor but when he learned that Kakao would be joining in he did the HTO over night. Because he feared with Kakao getting in his contracts of music licensing and distribution made under his own company would felt trough because Kakao can distribute them w/o paying a third party (just like Kakao distributes most of kpop to Spotify right now). So in a way was shady...

    • @@Taejiu but in a way I do agree with you that the way his nephew is handling this is very messy and not professional at all.. this stuff should be handled privately and between regulators and lawyers.. He can be putting himself in a really position of being outsted (with a good severance package of course) and if his claims can't not be 100% backed in a court of law... He can put himself in a case of slander and defamation...

    • @@Taejiu and just to aid one of the points of the video... When shares are being sold into large quantities the price drops, and that can make SM Break. Because the average shareholder that has SM Stocks will sell to get their money back before the stock drops even further... Making the stock drop even more.. So even if this deal don't go through LSM is hurting SM in the long run just by this move. Because the SM shares are going down with this... And his nephew CO-CEO is not helping ...

  • that video and the controversy with Lee Sooman and his nephew got SM as a company looking like a cartoon supervillian. this is goofy and I feel bad for the artists getting caught in the crossfire like Key who's spoken up about his frustrations about some promotion ideas that he'd like to do but can't because the company is preoccupied
